These are the terms and conditions which apply to your use of the STUDIO NANTUCKET Website (the “Website”) and the purchase of Goods and Services from us. You should read these Conditions carefully before using this Website or purchasing any Goods or Services from us. If you do not agree to these Conditions, you must not use this Website.

This Website and the Goods and Services displayed on it are provided by Studio Method LLC and its subsidiaries, including, without limitation, Studio Nantucket (23 Federal Street), collectively referred to in these Conditions as "Studio Nantucket", “we, "us" and "our". When we refer to "you" and "your" we mean the user of this Website purchaser of Goods or user of our Services.

When the following words with capital letters are used in these Conditions, this is what they mean:

“Class” - any exercise class provided by us or on our behalf at the Studios as part of the Services;

“Conditions” - the terms and conditions as set out in this document;

“Credit” - credits purchased via our Website and used to make bookings for Classes;

“Goods” - any Goods offered for sale at any of our Studios;

“Services” - services available to you via this Website, including the Classes;

“Studios” - our studios, as published on our Website from time to time;

“Facilities” – any area, part, or room within our Studios, not limited to the studio room;

CREDITS

To book a Class, your account must include at least one Credit. One Credit entitles you to attend one Class. You can purchase Credits via our Website. Multiple Credits can also be purchased as bundles at discounted rates. Price details for Credits are available on our Website and shall be such prices as determined by us. You should be aware that classes and series expire, and future prices are subject to change. Credits purchased as part of bundles of 1 Credit will expire 120 days from purchase. Credits purchased as part of bundles of 5 Credits will expire 240 days from purchase. Credits purchased as part of bundles of 10 Credits will expire 240 days from purchase. Subject to any statutory right of cancellation, payments for Credits are non-refundable unless otherwise stated in these Conditions.

BOOKING A CLASS

You can check availability and book Classes in advance online via our Website. When you book a Class, one Credit will be deducted from your account. We make every effort to ensure that there are a suitable number of Classes available at different times of the day. However, classes are subject to availability and we do not guarantee that spaces will be available in any given Class, even if you have sufficient Credits in your account.

Those attending a class must arrive at least 15 minutes prior the start of their class. Failure to arrive 15 minutes before to the start of a class will result in a reservation cancellation and waitlist members may take the spot. Late attendance is not allowed. Once a class has started, no more attendees are accepted into the class.

You may cancel a booking up to 12 hours before the schedule start time of the Class and receive a refund of your Credit. If you cancel a booking within 12 hours of the schedule start time of the Class (including places allocated via the waitlist), your Credit will not be refunded. If the Class you wish to attend is fully booked, you may choose an alternative Class with remaining spaces. Alternatively, you may join a waitlist for the fully booked class. When you join the waitlist, one Credit will be deducted from your account. If you join the waitlist and a space becomes available, you will be automatically added to the Class. You will be notified by e-mail and text message if you are automatically added to a Class. If at any point you are moved off the waitlist into class and don't have the necessary credit, a single class drop-in will be purchased automatically for you using the CC on file in your account.

If you join a waitlist but no longer wish to attend the Class, you should cancel the booking via our Website as soon as possible. If you are automatically added to a Class you may cancel up to 12 hours before the Class and receive a refund of your Credit but you will not be refunded if you cancel within 12 hours of the Class.

If you join the waitlist and a place on the fully booked Class does not become available by the start of Class, the Credit debited from your account to join the waitlist will be refunded. If we cancel a class, your Credit will be refunded.

GOODS

If you change your mind about any Goods purchased from us, you may return them to any of our Studios within 14 days with your receipt and we will give you a full refund provided that the Goods are unused and are not damaged. This does not affect your statutory rights as a consumer.

USE OF OUR WEBSITE

Use of our site includes accessing, browsing or registering to use our Website. By using the Website you are confirming that you accept these Conditions and that you agree to comply with them. We may update this Website from time to time and may change the content at any time. Any of the content on our Website may be out of date at any given time and we are under no obligation to update it. We do not guarantee that our Website, or any content on it, will be free from errors or omissions. We do not guarantee that our Website, or any content on it, will always be available or be uninterrupted. Access is permitted on a temporary basis and we may suspend, withdraw, discontinue or change all or any part of our Website without notice. We will not be liable to you if for any reason our Website is unavailable at any time or for any period.

By accessing this Website, you agree that you will access its contents solely for your own use. You may print out a single hard copy of any part of the content of this Website for your use in accordance with these Conditions. You must not modify the copies of any materials on this Website in any way and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any text. Our status (and that of any identified contributors) as the authors of content on our Website must always be acknowledged. You must not use any part of the content on our Website for commercial purposes without obtaining a license to do so from us or our licensors. We cannot guarantee that this Website will operate in accordance with your expectations or will be error free. YOUR USERNAME AND PASSWORD

Certain areas of our Website are restricted and may only be accessed if you are registered with us and have been issued with or have chosen a username and password. You must not allow any other person to use your username, password or other login details and must treat such information as confidential and must not disclose it to any third party. If you believe or suspect that someone else knows your login details you must contact us as [email protected] as soon as possible.

We reserve the right to disable any user identification code or password used to access to this Website at any time if in our reasonable opinion you have failed to comply with these Conditions.

You shall not obtain or attempt to obtain unauthorized access to an area of this Website which is only accessible with a username and password other than that which has been identified as being available to you through the logins and passwords notified to you and you will not attempt to evade our authentication or security procedures nor assist, encourage or permit any other person to do any of the above things. You should be aware that some of the documents, files and other information may contain personal data subject to applicable data protection legislation. We shall not be liable for any losses you suffer as a result of unauthorized access to your account until such time as you have informed us of unauthorized use or possible unauthorized use of your login details or of a breach of security at [email protected].

If you are accessing an area of our Website protected by a username and password to use the Services available through it otherwise than in the course of your business, you have certain statutory rights as a consumer regarding the performance of Services. These statutory rights will not be affected by any statement contained in these Conditions.

INTELLECTUAL PROPERTY

The trademarks, logos and trade names of STUDIO NANTUCKET are the property of STUDIO NANTUCKET Studios and may not be used by you for any reasons other than as expressly permitted by these terms. All Website content, design, text, and graphics; the collection, selection, and arrangement thereof, are property of, or duly licensed to, STUDIO NANTUCKET. You have the right to view, electronically copy, and print in hard copy portions of the Website for the sole purpose of making class reservations, purchases, or other personal use. Any other use of materials on the Website, including modification, distribution, or reproduction for purposes other than those noted above, without the prior written permission of STUDIO NANTUCKET, is strictly prohibited. You acknowledge that STUDIO NANTUCKET and/or third party content providers remain the owners of all Website materials, and that you do not acquire any of those ownership rights by downloading, copying, or using any such material in accordance with these Terms and Conditions. STUDIO NANTUCKET may discontinue or remove the Website or any portion thereof, or discontinue your right to use the Website or any portion thereof, at any time.

WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY

In no event will STUDIO NANTUCKET be liable for any direct, indirect, special, or other consequential damages resulting from your use of the Website or on any other linked/third-party website, including without limitation, any lost profits, business interruption, loss of programs, or other data on your information handling systems or otherwise, including any claims waived by you previously in this agreement even if STUDIO NANTUCKET expressly advised of the possibility of such damage.

All information is provided by STUDIO NANTUCKET on an “as is” basis only. STUDIO NANTUCKET provides no representations and warranties, express or implied, including the implied warranties of fitness for a particular purpose, merchantability, and non-infringement.

AUTOMATICALLY COLLECTED INFORMATION

The Website collect some anonymous information about users automatically when individuals request pages through a browser. This information is used to keep track of the shopping cart and to help us monitor how individuals use the Website which allows STUDIO NANTUCKET to provide an optimal experience and better service throughout the online offerings. WAIVER AND RELEASE

By signing up for and/or attending classes, events, activities, and other programs and using the premises, Facilities and equipment, you hereby acknowledge on behalf of yourself, your heirs, personal representatives and/or assigns, that there are certain inherent risks and dangers in indoor cycling and exercise equipment in association with the Classes and Facilities. You acknowledge that some of these risks cannot be eliminated regardless of the care taken to avoid injuries. You also acknowledge that the specific risks vary from one activity to another, but range from (1) minor injuries such as scratches, bruises, and sprains; (2) major injuries such as eye injury or loss of sight, joint or back injuries, heart attacks, and concussions; and (3) catastrophic injuries including paralysis and death. You have read and thoroughly understand all safety instructions that are posted on the Website. At all times, you shall comply with all stated and customary terms, posted safety signs, rules, and verbal instructions given to you by staff. If in the subjective opinion of the STUDIO NANTUCKET staff, you would be at physical risk participating in STUDIO NANTUCKET’s Classes, you understand and agree that you may be denied access to the Classes and Facilities until you furnish STUDIO NANTUCKET with an opinion letter from your medical doctor, at your sole cost and expense, specifically addressing STUDIO NANTUCKET’s concerns and stating that STUDIO NANTUCKET’s concerns are unfounded. In consideration of being allowed to participate in and access the Classes and Facilities, you hereby (1) agree to assume full responsibility for any and all injuries or damage which are sustained or aggravated by you in relation to the Classes and Facilities, (2) release, indemnify, and hold harmless STUDIO NANTUCKET, its direct and indirect parent, subsidiary affiliate entities, and each of their respective officers, directors, members, employees, representatives and agents, and each of their respective successors and assigns and all others, from any and all responsibility, claims, actions, suits, procedures, costs, expenses, damages, and liabilities to the fullest extent allowed by law arising out of or in any way related to participation in the Classes or use of the Facilities, and (3) represent that you (a) have no medical or physical condition that would prevent you from properly using any of STUDIO NANTUCKET’s Classes and Facilities, (b) do not have a physical or mental condition that would put you in any physical or medical danger, and (c) have not been instructed by a physician to not participate in physical exercise. You acknowledge that if you have any chronic disabilities or conditions, you are at risk in using STUDIO NANTUCKET’s Classes and Facilities, and should not be participating in any Classes.
